Revenue Reactor™️ Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and Prosperous Ventures, LLC, doing business as Prosperity Pathway Consulting ("Revenue Reactor," "we," "us," or "our"), governing your access to and use of our website, landing and funnel pages, the Revenue Reactor web application at app.revenuereactor.ai, our AI advisor ("Metis™"), and any related services (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy (which is incorporated into these Terms by reference). If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to use the Services. If you use the Services on behalf of a business, you represent that you have authority to bind that business to these Terms, and "you" refers to both you and that business.'

2. Description of the Services

Revenue Reactor is a business-growth platform that includes a free Revenue Leak Score assessment, a dashboard of growth and financial-health scores, an AI advisor (Metis™), business-foundation building tools, and (for paid members) a personalized roadmap and additional features. We may add, change, or remove features at any time.

3. Accounts

To access certain features, you must create an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.

4. Plans, Billing & Cancellation

Ignition (Free). Includes the Revenue Leak Score assessment, a snapshot of your growth forces, a limited roadmap, and read-only access to our Foundation library.

Momentum (Paid Membership). Unlocks full access to Metis™, the complete Foundations builder suite, and other paid features, billed at $525 per quarter or $1,750 per year (optional team-seat add-ons are billed separately). Paid plans automatically renew at the end of each billing period at the then-current price unless canceled before renewal. You can cancel anytime from your account settings or by emailing [email protected]; cancellation stops future renewals but does not entitle you to a refund for the current billing period except as described below.

Money-Back Guarantee. If you are not satisfied with Momentum, you may request a full refund within 14 days of your first payment by emailing [email protected]. This guarantee applies once per customer and only to your first billing cycle; renewals and subsequent billing periods are not covered. (Freddy — confirm the 14-day window is what you want; adjust here and it's a one-line change.)

Price Changes. We may change our prices going forward; we'll provide notice before a price change affects your existing subscription.

5. The Assessment, Metis™, and AI-Generated Content

The Revenue Leak Score assessment, dashboard scores, roadmap, and Metis™'s guidance are generated based on the information you provide and general business frameworks (including the S.U.P.E.R.F.A.N.S.® Framework), aided by artificial intelligence, including third-party AI models. This content is provided for general informational and educational purposes only.

It is not professional advice. Nothing in the Services constitutes financial, legal, tax, accounting, or other professional advice, and Metis™ is not a substitute for a qualified professional. You are solely responsible for evaluating and deciding whether to act on any assessment result, score, roadmap, or recommendation. AI-generated content can be incomplete or inaccurate — verify anything important before relying on it.

No guaranteed results. We do not guarantee any specific business outcome, including any particular increase in revenue, referrals, retention, or profitability, from using the Services.

6. Intellectual Property

The Services, including all text, software, designs, assessments, scores, and content we provide, and all associated trademarks and brand names — including Revenue Reactor, Metis™, the S.U.P.E.R.F.A.N.S.® Framework, and related marks — are owned by us or our licensors and protected by intellectual property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own internal business purposes. You may not copy, resell, sublicense, reverse-engineer, or create derivative works from the Services or their content, except as expressly permitted.

7. Your Content

You retain ownership of the information, assessment answers, financial data, and other content you submit to the Services ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free license to use, host, reproduce, and process Your Content solely to provide, maintain, and improve the Services (including generating your scores, roadmap, and Metis™ responses). You represent that you have the right to submit Your Content and that it doesn't violate any law or third party's rights.

8. Acceptable Use

You agree not to:

Use the Services for any unlawful purpose or in violation of these Terms
Misrepresent your identity or business, or submit false information
Attempt to gain unauthorized access to the Services, other accounts, or our systems
Interfere with or disrupt the integrity or performance of the Services
Scrape, reverse-engineer, or use automated means to access the Services without our permission
Resell or provide access to the Services to third parties without our consent
Use the Services to build a competing product

We may suspend or terminate access for any violation of this section.

9. Third-Party Services

The Services rely on third-party providers, including payment processing (Stripe), hosting and database services (Supabase), AI model providers, and marketing/advertising tools. Your use of the Services may be subject to those providers' own terms. We are not responsible for the acts or omissions of third-party providers.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY ASSESSMENT, SCORE, OR AI-GENERATED CONTENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Services, Your Content, or your violation of these Terms.

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Services and close your account at any time. Sections that by their nature should survive termination (including Sections 6, 7, 10–13, and 15) will survive.

14. Changes to the Services or These Terms

We may modify these Terms from time to time. When we do, we'll update the "Effective Date" above and, for material changes, provide reasonable notice (such as an email or in-app notice). Continued use of the Services after changes take effect means you accept the revised Terms.

15. Governing Law & Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

Binding Arbitration & Class Action Waiver. You and Revenue Reactor agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its applicable rules, rather than in court, except that either party may bring an individual claim in small claims court. You and Revenue Reactor each waive the right to a jury trial and to participate in a class action, class arbitration, or representative action. Arbitration will take place in Arizona (or another mutually agreed location, or remotely), and each party is responsible for its own attorneys' fees unless the arbitrator or applicable law provides otherwise.

Opt-Out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first agreeing to these Terms, stating your name and that you opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Arizona, and both parties consent to that venue and jurisdiction.

16. General

These Terms, together with our Privacy Policy, are the entire agreement between you and us regarding the Services and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
